Learn how to: Find "On and Off" market deals through sites, brokers, direct outreach, marketplaces, and networking. You will also learn quick ways to screen listings and spot the best opportunities.

Understanding the basics of "valuations" will take you FAR! so will learn how to read simple financials and judge a fair price. Class will practice by reviewing sample listings and running a simple valuation using a real profit-and-loss statements.

Financing Your Deal

Learn the key funding options for buying a business, including SBA loans—how they work, their requirements, and the paperwork involved. Explore seller notes and how to negotiate them. Gain insight into working with equity partners and investors, from finding them to making your pitch, and discover creative deal structures like earn-outs, deferred payments, and equity rollovers. We put these lessons into practice by comparing loan types with a simple cost table and drafting a financing plan for a sample deal.

Turn Week 4 Findings into a Signed Purchase
Learn the essentials of a purchase agreement from our partner lawyers, including key sections and common pitfalls. Practice using due-diligence results to negotiate price and terms, and understand the final steps for securing money and bank approval, including SBA requirements and lender conditions. Cover the regulatory details—permits, government filings, and license transfers—and plan the closing process by coordinating timelines. In class, you’ll mark up a sample contract, role-play a buyer–seller negotiation, and build a personal closing checklist with a detailed timeline to guide your own deal.

The Close & Your first 90 days as a CEO

Prepare to finish the purchase and step into leadership by mastering the pre and post closing. We will review: Sample documents and finalized agreements. We will also build your 30-60-90 day transition plan to transition the business in the smoothest way possible. Learning how to lean into the existing ownership during your 1st 90 days is critical to the success of the company. During class we review: how to communicate with customers, then set growth goals, track early results, and map out future scaling or acquisitions. We will run a mock closing with assigned roles, draft your own 90-day transition plan, and join a group discussion on strategies for early growth.
